Gateway Bank & Trust Code of Business Ethics
The Board of Directors (the "Board") of Gateway Bank & Trust, a Georgia corporation (the" Bank"), has established the following Code of Business Ethics (the "Code') to contribute to why we exist as defined in Our Mission Statement. The Board not only expects every Director, Officer and Employee ("Member" or "We") to adhere to the code but to also affirm to the spirit of the code.
We shall maintain a high level of ethical conduct, moral standards and honesty, in our alliance with members and professional relationships of our customers and shareholders and oppose and report to appropriate person or persons without hesitation, illegal or unethical conduct of fellow members.
We shall avoid conflicts of interest or the appearance of any conflict of interest and disclose to the appropriate person or persons the handling of actual or apparent conflicts of interest between members and professional relationships of our customers and shareholders.
We shall fully, fairly, accurately, timely and understandably disclose in reports and documents that we provide to members, customers, shareholders and regulatory authorities in order that we may ensure the integrity of our records and accounting information..
We shall comply with all internal controls, applicable governmental laws, rules and regulations and promptly report to the appropriate person or persons of any violations.
We shall respond honestly and candidly when dealing with the bank’s independent and internal auditors, regulators and attorneys.
We shall not solicit anything of value from anyone in return for any business, service or confidential information of the bank and accepting anything of value from anyone in connection with the business of the bank, either before or after a transaction is discussed or consummated.
We shall not reveal confidential information on members, customers and shareholders unless required by law or by authorized disclosure and only between members when there is a legitimate business need to know.
We shall protect from misuse all confidential and sensitive information that could result in identity theft.
The Audit Committee of the Board of Directors along with Executive Management will monitor the compliance of the code and any violations of the code should be reported to the Internal Auditor or the External Auditor.
